Terms of Use
October 16th, 2026
1. Purpose
Leez Sàrl, Rue des Prés de la Scie 7, 1920 Martigny ("Leez"), operates the website leez.ch and its platform (the "Service"). The Service connects people selling a business based in Switzerland ("sellers"), people looking to take one over ("buyers") and service providers who specialise in business succession ("experts"). It offers listings of businesses for sale, a valuation tool, online signature of non-disclosure agreements, tracking of the steps between seller and buyer, and a directory of experts.
These terms apply to any use of the Service, with or without an account. By creating an account, you accept them and the privacy policy. If you act for a company, you confirm that you have the power to bind it.
Leez connects people. Unless a separate written mandate has been signed, Leez is not a party to any transaction between users, represents neither the seller nor the buyer, and takes no part in negotiations.
2. Access and account
- The Service is open to adults with legal capacity. It covers businesses based in Switzerland; sellers, buyers and experts can sign up from Switzerland or from abroad.
- To create an account, you give your name and a valid email address and keep this information up to date. A person or a company has only one account, unless Leez agrees otherwise.
- The same account can be used to sell and to buy. Experts also have a profile in the directory.
- You keep your login details to yourself and are responsible for actions taken from your account. Report any misuse to us without delay at hello@leez.ch.
- Leez may refuse a registration or suspend an account that does not comply with these terms.
3. Listings published on Leez
A seller, or an expert on behalf of a client, can create a listing. It is free while it remains a draft; publishing it may be charged (section 9).
- The author of a listing is responsible for its accuracy, its lawfulness and the right to publish the information and documents uploaded. The author keeps it up to date and withdraws it when the business is no longer for sale.
- To keep the project discreet, Leez publishes the listing under an anonymous name. Leez may rephrase, shorten and translate its public texts, in particular with artificial intelligence tools. The seller can edit the listing at any time.
- The seller chooses what is public and what is reserved for buyers whose non-disclosure agreement the seller has accepted (section 5).
- An expert can create a listing for a seller. The seller takes over its management with the code Leez sends by email.
- Leez may refuse, suspend or remove a listing that breaches these terms or the law, or that appears misleading. Publication fees already paid are then not refunded.
Leez does not check listings: neither the identity of the businesses, nor their figures, nor their legal situation. Before any decision, the buyer carries out their own checks, with the help of professionals if needed.
4. Listings taken from other websites
To give an overview of the Swiss market, Leez also features listings published by third parties on other websites ("aggregated listings"). Leez rewrites their text, does not copy their images and links to the original listing.
- The full details and the seller's contact are on the original website. An aggregated listing cannot be unlocked with a non-disclosure agreement on Leez.
- Leez does not check these listings and is liable neither for their content nor for their availability. The original website and the author of the listing remain responsible for them.
- The author of an aggregated listing, or the holder of its rights, can ask for it to be corrected or removed at hello@leez.ch.
5. Non-disclosure agreements
- To access the reserved information of a listing, the buyer signs online the non-disclosure agreement (NDA) proposed by Leez. Leez may reserve this request for buyers whose identity and phone number have been verified and who have the required plan.
- The buyer signs by entering a code received by text message. Leez records the signed text, the date, the time, the IP address and the phone number used, and produces a PDF copy. The agreement is concluded by this online acceptance: the law requires no written form for this type of agreement.
- The seller accepts or declines the request. If the seller accepts, the buyer gets access to the reserved information and documents and to the seller's contact details.
- The agreement binds the buyer and the seller. Leez is not a party to it and is not liable for its observance. In the event of a breach, the parties take action directly against each other.
6. Tracking the steps
Once a non-disclosure agreement has been accepted, the seller and the buyer track their steps in their own area.
- Each party places the request at the stage of its choice; the other party does not see this stage.
- The dates and amounts of the transaction (letter of intent, due diligence, signing, transfer) are shared by both parties, who can enter and correct them. Notes stay private.
- When a seller marks the business as sold, the seller can say whether the buyer came through Leez.
- Leez uses these data, aggregated, for its statistics and never publishes the amount of a transaction.
7. Valuation
The valuation tool is free. It calculates a value range from the figures you enter, your sector, and the size and age of the business (EBITDA multiple method). The result is indicative: it does not replace a valuation by a professional and does not bind Leez. Leez may contact you about your valuation.
8. Experts and contact requests
- Experts present their services in the directory and are responsible for the content of their profile and for their services. Leez does not check their qualifications and recommends no particular expert.
- The display order and the highlighting of profiles may depend on the plan chosen by the expert.
- When you send a request to an expert through Leez, we forward your message and your contact details to the expert by email. The relationship that follows is between you and the expert, without Leez.
9. Paid plans and payment
Browsing listings, creating an account, valuing a business and preparing a listing are free. The paid plans and their prices are on the Pricing page:
- publishing a listing, paid once per listing;
- the Premium subscription for buyers, yearly;
- the Premium subscription for experts, yearly.
Prices are in Swiss francs and include Swiss VAT. Leez may offer free periods, discounts or promotional codes; their conditions and duration are shown on the website. During a free period, the features concerned are available without payment.
Payments go through Stripe, by card and, depending on the purchase, by TWINT or Klarna. Leez neither sees nor stores your card numbers.
A subscription runs for one year and renews automatically at the price then in force, unless you cancel it from your account before the end of the period. Cancellation takes effect at the end of the paid period. Leez notifies you by email of any price increase before the renewal concerned.
The publication fee is paid when the listing is published. The listing stays online until you withdraw it or the business is sold.
Amounts paid are not refunded, in full or pro rata, except where Leez is at fault or mandatory law provides otherwise. Until a payment has gone through, Leez may suspend the plan concerned.
10. Emails and newsletter
With your account, you receive:
- the emails the Service needs: account creation, non-disclosure agreements, identity verification, payments;
- depending on your profile, alerts about listings that match your criteria, the statistics of your listings and reminders to complete them;
- the Leez newsletter and information about its services, offers and new opportunities.
By creating an account, you agree to receive these emails. You can turn off alerts, statistics and reminders in your account settings or through the link they contain. You can unsubscribe from the newsletter and the information at any time, free of charge, through the unsubscribe link in these emails or by writing to hello@leez.ch. The emails the Service needs continue as long as the account exists.
11. Rules of use
You agree not to:
- use the Service for unlawful or misleading purposes, or publish false information on it;
- publish a listing or a document without the right to do so, or infringe the rights of others;
- use information received under a non-disclosure agreement beyond what it allows;
- harass other users or send them unsolicited bulk messages;
- extract data from the Service by automated means (bots, scraping) without Leez's written consent;
- circumvent security or access measures, or introduce malicious software;
- use the Service to develop or feed a competing service.
Leez may suspend or close without notice the account of anyone who breaks these rules.
12. Content and intellectual property
You remain the owner of the content you publish: listings, texts, documents, profile. For as long as it is published, you grant Leez the non-exclusive, free right to host, display, adapt (anonymisation, rephrasing, translation, layout) and distribute it on the Service and in its communications, such as alerts, the newsletter and Leez's social media. Leez never discloses what you reserve for buyers under a non-disclosure agreement.
The website, its design, texts, logos and code belong to Leez Sàrl or its licensors. The Leez name and logo are distinctive signs of Leez Sàrl. Reproducing them requires Leez's prior written consent.
13. Availability and liability
Leez provides the Service as is and as available. The Service may be interrupted for maintenance or in the event of a failure. Leez guarantees neither its permanent availability nor the accuracy or completeness of listings and valuations.
To the extent permitted by law, Leez excludes liability for indirect or consequential damage, in particular loss of profit and loss of data, and for decisions taken on the basis of listings, valuations or exchanges between users. Its liability is also limited to the amount you paid it in the twelve months before the damage. These limits do not apply in the event of intent or gross negligence, nor in other cases where the law prohibits limiting liability.
Keep a copy of the documents you upload: the Service is not an archiving tool.
14. Account deletion and termination
- You can delete your account at any time, from your account or by writing to hello@leez.ch. Deletion ends current subscriptions without refund, archives your listings and declines pending requests for non-disclosure agreements.
- Leez may terminate an account with 30 days' notice, or without notice in the event of a breach of these terms, abuse or fraud.
- After deletion, Leez keeps certain data as set out in the privacy policy, in particular proof of signed agreements.
15. Personal data
The privacy policy describes which data Leez processes and your rights. It forms part of these terms.
16. Changes
Leez may change these terms. The version in force is the one published on this page, with its update date. In the event of a significant change, Leez may inform you by email or by a notice on the website. If you keep using the Service after a new version is published, you accept it; otherwise, you can delete your account.
17. Governing law and place of jurisdiction
These terms are governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods. The place of jurisdiction is the registered office of Leez Sàrl in Martigny (Valais). Mandatory places of jurisdiction are reserved, in particular that of a consumer's domicile.
18. Final provisions
If a clause is invalid, the others remain valid, and the invalid clause is replaced by the one that comes closest to it. Leez may transfer this contract to a company that takes over the Service. You may not transfer your account without Leez's consent.
